BABALU Ambassador Program – Terms & Guidelines

PROGRAM TERMS AND GUIDELINES FOR AMBASSADORS

These Ambassador Program Terms govern participation in the BABALU Fishing Tackle Ambassador Program. The program is managed by Luís Miguel da Costa Ferreira, holder of NIF/VAT PT219263752, with professional address at Avenida do Atlântico, N.º 16, Office 2.01, 1990-019 Lisbon, Portugal, which operates under the brand BABALU Fishing Tackle, hereinafter referred to as “BABALU”.

By submitting an application, accepting an invitation, using an affiliate code or link, or otherwise participating in the program, you confirm that you have read, understood, and accepted these Terms.

For the purposes of these Terms, “Ambassador” or “Creator” means the person accepted into the program; “content” includes photographs, videos, texts, reviews, publications, broadcasts and other materials created by the Ambassador; and “program platform” means Shopify Collabs or another platform designated by BABALU.


1. OBJECTIVE OF THE PROGRAM

The program aims to create authentic relationships with fishermen and breeders who know, use and present BABALU products responsibly. The program seeks to raise awareness of the brand through content related to fishing, honest recommendations and positive participation in the community.

2. ELIGIBILITY

People at least 18 years old and legally capable of entering into this Agreement may apply. BABALU may consider, among other factors, the quality and authenticity of the content, connection to fishing, audience engagement, reputation, country of residence and compatibility with brand values.

3. APPLICATION AND ACCEPTANCE

Submitting an application does not guarantee entry into the program. BABALU may accept, decline or waitlist an application without obligation to disclose internal criteria, ratings or confidential business decisions. Participation only begins after written confirmation or activation through the program platform.

4. INITIAL EVALUATION PERIOD

The first 90 days are an initial evaluation period. During this period, BABALU can analyze the quality of the content, compliance with the rules, correct use of codes, audience engagement and overall suitability for the program. Participation may be maintained, adjusted, suspended or terminated at the end or during this evaluation.

5. INDEPENDENT RELATIONSHIP

The Ambassador participates as an independent collaborator. These Terms do not create an employment relationship, partnership, agency, commercial representation, franchise, association or joint venture. The Ambassador independently organizes his time, resources and activities, without prejudice to the obligations set out here.

6. NO AUTHORITY TO REPRESENT BABALU

The Ambassador cannot make commitments, enter into contracts, provide guarantees, negotiate conditions, accept responsibilities or speak on behalf of BABALU. Any public presentation must make it clear that it is a personal opinion or experience.

7. PROGRAM BENEFITS

Unless otherwise indicated on the program platform or in written communication, the normal level of participation may include:

  • 20% personal discount on eligible purchases;
  • 10% discount code for followers, when available;
  • 5% affiliate commission on eligible and correctly attributed sales;
  • possibility to test selected products or receive complementary products, when expressly offered;
  • possibility of publishing content on BABALU channels; and
  • possible invitation to the Professional Team, subject to self-selection.

Travel, accommodation, competition registrations, participation fees and financial sponsorship are not included unless otherwise agreed in writing.

8. NO GUARANTEED BENEFITS

Participation does not guarantee orders, income, reach, free products, publicity, contracts, sponsorships, exclusivity, invitations or progression to another level. Benefits may depend on availability, market, performance, and program platform rules.

9. AMBASSADOR'S PERSONAL DISCOUNT

The personal discount is intended exclusively for the Ambassador and cannot be shared, sold, published or used to purchase on behalf of third parties. May not combine with other promotions, may exclude certain products and is subject to reasonable limits. Abusive use may lead to the suspension of the discount and participation.

10. CUSTOMER DISCOUNT CODE

The customer code can be shared with the Ambassador's audience on authorized channels. It may not be placed on promotional code pages, browser extensions, discount forums, unauthorized paid campaigns or other places that could misappropriate attribution. BABALU may change, limit, replace or disable the code.

11. AFFILIATE CONNECTIONS

Affiliate links must be used as provided and only in a legitimate context. It is prohibited to hide the origin of traffic, force clicks, install cookies without conscious user action, inappropriately redirect or resort to any method designed to create artificial attributions.

12. ELIGIBLE COMMISSIONS

The standard commission is 5% of the eligible value of products from a sale attributed to the Ambassador through Shopify Collabs. The calculation excludes VAT or other taxes, shipping, customs duties, offers, canceled, fraudulent, fully refunded or ineligible orders. In case of partial refund, the commission is adjusted proportionally. The applicable rate displayed on the platform prevails if communicated to the Ambassador.

13. SELF-INDICATIONS

Commissions are not allowed on purchases made by the Ambassador himself, his family or made mainly for personal benefit. The personal discount must be used on your own purchases. BABALU may cancel commissions associated with self-referrals or operations intended to circumvent this rule.

14. ATTRIBUTION

Attribution is primarily determined by Shopify Collabs records and their technical rules. Not all clicks or sales can be attributed, in particular due to privacy settings, blockers, deleted cookies, device change, third-party codes or technical limitations. BABALU does not guarantee attribution for all interactions.

15. COMMISSION RETENTION PERIOD

Commissions remain pending during the retention period applied by Shopify Collabs to allow for verification of cancellations, refunds, fraud, and eligibility. Canceled or refunded orders may result in the commission being voided or reduced.

16. PAYMENT DISPUTES

BABALU may suspend or contest a commission when there is evidence of fraud, self-referral, unauthorized disclosure of codes, prohibited advertising, attribution manipulation, false orders, suspicious traffic, posting on unauthorized pages or violation of these Terms. Whenever reasonably possible, available elements will be analyzed before making a final decision.

17. PAYMENT DETAILS AND TAX OBLIGATIONS

The Ambassador is responsible for keeping payment details correct and for complying with applicable tax, accounting and reporting obligations, including income tax, VAT, activity registration, social contributions and issuing invoices or receipts when required. BABALU does not provide individual tax advice.

18. CONTENT EXPECTATIONS

The Ambassador is expected to publish at least 2 original fisheries-related content per calendar month. These can be photographs, videos, evaluations, demonstrations, responsible captures, montages, techniques, use of equipment or other relevant content. Quality, authenticity and usefulness are more important than quantity.

19. REASONABLE FLEXIBILITY

BABALU recognizes that fishing seasons, weather, health, occupation and other circumstances may affect publication. The Ambassador must advise BABALU when he anticipates significant disruption. An occasional failure does not automatically result in termination, but prolonged inactivity may lead to a review.

20. AUTHENTICITY

Content must reflect real experience and your own opinion. Made-up testimonials, false captures, manipulated results or statements that mislead the public are not permitted.

21. HONEST OPINIONS

The Ambassador must present honest and balanced assessments. BABALU does not require positive reviews or preclude good faith reviews. Technical, safety or quality issues must be reported responsibly.

22. CLAIMS ABOUT PRODUCTS

Only statements that are true, verifiable and consistent with the official product information may be made. Guaranteed results should not be promised or attributes of safety, resistance, sustainability, performance or certification that BABALU has not confirmed.

23. ADVERTISING IDENTIFICATION

Whenever there is a payment, commission, discount, product offered, loan or any other advantage, the Ambassador must clearly identify the commercial nature of the communication, in accordance with the law and the rules of the platform used.

24. MINIMUM IDENTIFICATION REQUIREMENT

Identification must be immediate, visible and understandable before or at the beginning of the content. Expressions such as “Advertising”, “Paid partnership with BABALU]”, “Product offered by BABALU” or “Affiliate connection: I may receive a commission” must be adapted to the specific situation. A simple list of barely visible labels may not be enough.

25. PLATFORM IDENTIFICATION TOOLS

When the platform provides a paid partnership tool or branded content, the Ambassador must use it, without prejudice to adding written or oral identification when necessary to make the communication unambiguous.

26. IDENTIFICATION LANGUAGE

The commercial identification must be presented in a language that the audience understands and with sufficient prominence compared to the rest of the content.

27. BRAND REPRESENTATION

The Ambassador must treat customers, other fishermen, competitors and the community with respect. You must not associate BABALU with harassment, discrimination, hate, violence, misinformation, animal cruelty, dangerous conduct or behavior likely to cause serious damage to the brand.

28. OTHER FISHING BRANDS

Participation is non-exclusive, unless otherwise agreed in writing. The Ambassador may work with other brands, but must not present competing products as BABALU products, compare in a misleading way or use confidential information from BABALU.

29. PAID ADVERTISING

The Ambassador may not promote affiliate codes or links through paid advertising without prior written authorization. This prohibition includes ads on social media, advertising networks, self-purchased sponsored content, and automated campaigns.

30. ADVERTISING IN SEARCH ENGINE

Biding or advertising with terms that include BABALU, BABALU Fishing Tackle, product names, brand misspellings, or similar combinations is prohibited unless written authorization is given. It is also prohibited to impersonate the official page of BABALU.

31. BRANDED DOMAINS AND SOCIAL ACCOUNTS

The Ambassador may not register or use domains, usernames, pages, groups or accounts that contain the BABALU brand or that may appear official, unless written and revocable authorization.

32. INTELLECTUAL PROPERTY OF BABALU

BABALU maintains all rights to its brands, logos, designs, photographs, texts, packaging and other assets. The Ambassador receives only a limited, non-exclusive, non-transferable and revocable authorization to use them within the scope of the program and in accordance with the guidelines provided.

33. OWNERSHIP OF CREATOR CONTENT

The Ambassador retains ownership of the original content he creates, without prejudice to the rights of third parties and the license granted to BABALU under the following terms.

34. LICENSE GRANTED TO BABALU

For content sent to BABALU, made available under the program or published with identification of BABALU, the Ambassador grants BABALU a non-exclusive, worldwide, free, three-year license to reproduce, adapt, edit, translate, publish, communicate and present such content on the websites of the BABALU, Shopify store, organic social media, email, product pages, Amazon, other e-marketplaces, retailer or distributor pages, program materials, and internal presentations. The Ambassador confirms that he has the necessary rights to grant this license.

35. PERMITTED EDITING OF CONTENT

BABALU may resize, crop, subtitle, translate, adjust the color, shorten or adapt the format of the content, as long as it does not misleadingly alter the opinion or essential message of the Ambassador.

36. RIGHTS TO PAID ADVERTISING

The use of the Ambassador's content in paid advertisements, promotion from their account, authorization of advertisements, whitelisting or boosting require additional authorization when the law or the platform requires it. Duration, territory and remuneration conditions can be defined in writing for each campaign.

37. NAME, IMAGE AND VOICE

To the extent necessary to use licensed content, Ambassador authorizes BABALU to use the public name, image, voice, username and channel ID associated with such content. Authorization does not allow you to create false testimony or suggest approval other than that actually expressed.

38. ARTIFICIAL OR MANIPULATED CONTENT

Content generated or significantly altered by artificial intelligence must be identified when it may mislead the public. It is prohibited to create false catches, statements, people, product results or fishing situations and present them as real.

39. THIRD PARTY RIGHTS

The Ambassador must not use music, images, videos, brands, private locations or other materials without the necessary authorizations. It is the responsibility of the Ambassador to obtain appropriate licenses and consents prior to publication.

40. OTHER PEOPLE PRESENT IN THE CONTENT

The Ambassador must obtain the consent of the identifiable people present in the content. In the case of minors, the consent of their legal representative and compliance with the rules for the protection of minors are required.

41. PRODUCTS OFFERED AND GIFTS

The sending of products or gifts depends on availability and does not constitute guaranteed remuneration. Unless otherwise stated in writing, the products offered may be kept by the Ambassador, but must be identified as an offer when presented publicly.

42. PROTOTYPES AND LOANED PRODUCTS

Prototypes, confidential samples and products expressly sent on loan continue to belong to BABALU. They must be protected, used only for the authorized purpose and returned when requested, under the conditions communicated.

43. COMPLIANCE WITH THE LAW

The Ambassador must comply with all laws, regulations, advertising rules, consumer protection, intellectual property, data protection, taxation, fishing and security applicable to its activity and location.

44. ILLEGAL FISHING

It is prohibited to create or disseminate, in association with BABALU, content that promotes illegal fishing, protected species, prohibited methods, capture in prohibited areas, violation of quotas or minimum sizes, or any other serious infraction.

45. LOCAL FISHING RULES

The Ambassador is responsible for knowing licenses, seasons, limits, species, zones, sizes, methods and local rules. The provision of equipment by BABALU does not mean that its use is permitted in all locations or circumstances.

46. ILLEGAL OR SERIOUS CRIMINAL CONDUCT

Participation may be suspended or terminated when there is illegal or serious criminal conduct that could create a risk to people, animals, the environment, customers, program or reputation of BABALU.

47. ABSENCE OF AUTHORIZATION FOR ILLEGAL CONDUCT

No instruction, product, benefit or communication from BABALU authorizes the Ambassador to violate the law, enter private property, put himself in danger or disregard environmental and animal welfare rules.

48. NO LIABILITY FOR INDEPENDENT ACTS

To the extent permitted by law, BABALU is not responsible for independent acts of the Ambassador, including fishing decisions, movements, inappropriate use of equipment, legal violations, conflicts with third parties, or damages caused by unauthorized conduct.

49. PREVENTIVE SUSPENSION

BABALU may preventively suspend codes, connections, payments or participation when there is a credible risk of fraud, illegality, security, serious breach or reputational damage, pending a reasonable analysis.

50. ALLEGATIONS AND INVESTIGATIONS

An allegation does not, in itself, prove an infringement. BABALU may consider the severity, credibility and available information, seeking to act proportionately. In urgent situations, you can adopt provisional measures before completing the analysis.

51. COOPERATION WITH INVESTIGATIONS

The Ambassador must cooperate reasonably in an investigation related to the program, providing clarifications and elements that are legitimately in his possession, without prejudice to his legal rights.

52. REGULATORY AUTHORITIES AND ENTITIES

BABALU may collaborate with authorities, courts, platforms and regulatory entities when there is a legal obligation or a legitimate basis to do so, respecting applicable data protection rules.

53. LEGAL DEFENSE, FINES AND SANCTIONS

Each party is responsible for the consequences of its own conduct. Fines, sanctions, costs or liabilities caused by a violation attributable to the Ambassador are not borne by BABALU, unless the law determines otherwise.

54. PERSONAL CONDUCT AND BRAND SAFETY

BABALU may act when public conduct by the Ambassador presents a clear link to the program and creates serious and demonstrable risk to customers, partners or brand reputation. The analysis must take into account context and proportionality.

55. PROPORTIONALITY

Where appropriate, BABALU may opt for notice, correction, temporary limitation, suspension or termination. Serious infringements, fraud, illegality or urgent risks may justify immediate measures.

56. FALSE ALLEGATIONS OF ASSOCIATION

The Ambassador cannot present himself as an employee, official representative, permanent sponsor, member of the Professional Team or exclusive partner of BABALU without specific written authorization.

57. CONFIDENTIALITY

Non-public information identified as confidential, or that should reasonably be understood as such, may not be disclosed or used outside the program. This includes launches, future prices, prototypes, campaigns, commercial data, access and information from other participants.

58. CONFIDENTIALITY PERIOD

The obligation of confidentiality remains during participation and for three years after cessation, with no time limit for commercial secrets as long as they retain that nature, except for a different period imposed by law.

59. CUSTOMER DATA

The Ambassador must not collect, retain, copy or use customer data obtained through BABALU or the program, unless instructed in writing and on an appropriate legal basis. Customer questions should be directed to BABALU official channels.

60. PERSONAL DATA

The Ambassador's personal data is processed to manage applications, participation, communications, assignments, payments, compliance and security, in accordance with the applicable Privacy Policy. The Ambassador must also comply with data protection legislation in his or her own activity.

61. PROGRAM MONITORING

BABALU may monitor public posts, code usage, links, traffic, sales and performance indicators to administer the program, prevent fraud, verify compliance and improve campaigns, in accordance with the law and platform rules.

62. SECURITY

The Ambassador must protect passwords, access, codes, payment data and equipment. Any suspicious access, loss of credentials or unauthorized use must be reported without delay.

63. HOSPITES AND COMPETITIONS

The Ambassador may not organize contests, contests or giveaways on behalf of BABALU without written approval. When authorized, it must comply with legal and platform rules, publish clear conditions and not suggest that the platform sponsors the initiative.

64. PRODUCT SAFETY

The Ambassador must follow instructions, warnings and intended uses. Defects, incidents or security risks must be reported to BABALU. It is prohibited to encourage dangerous uses or changes that compromise safety.

65. GENERAL FISHING SAFETY

The Ambassador must adopt responsible practices, including appropriate protective equipment, care with hooks and lines, assessment of weather and location conditions, supervision of minors, and respect for recommendations from authorities.

66. SAFE

The Ambassador is responsible for assessing whether he or she needs personal, professional, travel, civil liability or other insurance. Participation in the program does not include insurance coverage by BABALU.

67. EXPENSES

Each Ambassador bears their own expenses, including equipment, communications, travel, licenses, entrance fees, accommodation and content production, unless prior written authorization is made for a specific expense.

68. PROFESSIONAL TEAM

The Professional Team operates exclusively by invitation and participation as an Ambassador does not confer the right of entry. The selection may consider experience, content quality, conduct, technical knowledge, results, collaboration, availability and brand objectives. The conditions of the Professional Team may be subject to a separate agreement.

69. SUSPENSION

BABALU may temporarily suspend the account, codes, connections, benefits or payments due to inactivity, compliance analysis, risk of fraud, non-compliance or technical reasons. Where appropriate, it will communicate the reason and necessary steps.

70. ORDINARY TERMINATION

Any party may terminate participation by written notice. The Ambassador may leave the program at any time; BABALU may terminate it for business reasons, performance, inactivity or change in strategy.

71. IMMEDIATE TERMINATION

BABALU may immediately terminate participation in the event of fraud, serious infringement, false advertising, illegal conduct, security risk, brand misuse, disclosure of confidential information, attribution manipulation or serious reputational damage.

72. EFFECTS OF CESSATION

Upon termination, the Ambassador must cease to hold himself out as a current participant, discontinue use of proprietary materials, eliminate confidential access, and comply with reasonable instructions regarding loaned products. Codes, links and benefits can be deactivated.

73. REMOVAL OF CURRENT AMBASSADOR STATUS

The Ambassador must remove from biographies, pages and materials any statement that he continues to represent or be part of the program. It is not necessary to delete true historical references, as long as they do not create the impression of a current relationship.

74. HISTORICAL CONTENT

Content published prior to termination may remain accessible unless reasonably requested in connection with misinformation, legal risk, or misrepresentation of the current relationship. The license already granted to BABALU remains valid for the applicable period.

75. PUBLIC DISSOCIATION

In serious circumstances, BABALU may publicly clarify that a person has stopped participating in the program, limiting communication to what is necessary to protect customers, community and brand.

76. SERIOUS ILLEGAL ACTIVITY AND PUBLIC DISCLOSURE

When there is serious illegal activity, security risk or false representation claim, BABALU may issue a factual clarification and cooperate with the competent authorities, respecting the presumption of innocence and applicable legislation.

77. COMMISSIONS AFTER TERMINATION

Commissions validly earned prior to termination may be paid after the retention period as long as they remain eligible. No commissions are due for subsequent activity, fraud, self-referrals, canceled orders or other ineligible transactions.

78. LIMITATION OF LIABILITY

To the maximum extent permitted by law, BABALU is not liable for expected profits, loss of audience, opportunities, data, reputation or indirect damages resulting from participation. Nothing in these Terms excludes liability that cannot lawfully be excluded.

79. LIABILITY THAT CANNOT BE EXCLUDED

The limitations do not apply to liability for willful misconduct, personal injury caused by negligence, fraud, infringement of legally unavailable rights, or other situations where exclusion is prohibited.

80. INDEPENDENT ILLEGAL CONDUCT

The Ambassador is responsible for his independent unlawful conduct, unauthorized statements, and content, permissions, and activities he controls.

81. COMPENSATION

To the extent permitted by law, the Ambassador shall indemnify BABALU for direct losses, reasonable costs and third party claims caused by culpable breach of these Terms, fraud, infringement of third party rights or illegal conduct attributable to the Ambassador.

82. LIMITS OF COMPENSATION

The foregoing obligation does not cover losses caused by BABALU, uses of the content outside the license granted, misleading material changes made by BABALU or situations in which liability cannot be transferred by law.

83. CHANGES TO THE PROGRAM

BABALU may change benefits, fees, requirements, tiers, platforms, or these Terms. Relevant changes will be communicated with reasonable advance notice where possible. Continued participation after entry into force signifies acceptance of the changes.

84. URGENT CHANGES

Changes necessary for legal, regulatory, security, fraud or platform operation reasons may take effect immediately or within a shorter period of time.

85. DISCONTINUATION OF THE PROGRAM

BABALU can suspend or end the program. Eligible commissions already earned will be treated in accordance with these Terms and the platform rules, but there is no right to future benefits or compensation for discontinuation.

86. SHOPIFY COLLABS

Participation, attribution, and payments may depend on Shopify Collabs. The Ambassador must accept and comply with the terms of that platform. In case of technical unavailability, BABALU may use reasonably available records, without guaranteeing the recovery of data that the platform has not recorded.

87. THIRD PARTY PLATFORMS

BABALU does not control changes, interruptions, blocks, algorithms, policies or decisions of social networks, electronic markets, payment services and other third-party platforms.

88. FORCE MAJEURE

No party is responsible for delay or non-performance caused by events reasonably beyond its control, including disasters, conflicts, strikes, widespread failures, legal changes, logistical disruptions or platform unavailability.

89. COMMUNICATIONS

Program communications may be sent via email, the program platform or another agreed channel. The Ambassador must keep contacts updated and regularly check messages related to the program.

90. APPLICABLE LAW

These Terms are governed by Portuguese law, without prejudice to mandatory rules applicable in the Ambassador's country of residence.

91. DISPUTE RESOLUTION

The parties must seek to resolve any disagreement in good faith through direct contact. When applicable, legal mechanisms for alternative dispute resolution and rights of appeal to competent authorities remain available.

92. JURISDICTION

Without prejudice to the mandatory rules of territorial jurisdiction, the Portuguese courts are competent for disputes related to these Terms.

93. SEPARABILITY

If a provision is found to be invalid or unenforceable, it must be limited or replaced to the extent necessary, while the remaining provisions remain in force.

94. NON-WAIVER

The failure to exercise a right does not constitute a waiver of that right nor does it prevent its subsequent exercise.

95. ASSIGNMENT

The Ambassador may not assign participation, account, rights or obligations without written authorization. BABALU may transfer the program as part of a reorganization, transfer of business or equivalent transaction, in compliance with applicable law.

96. ENTIRE AGREEMENT

These Terms, the guidelines, the specific conditions communicated in writing and the applicable platform rules constitute the entire agreement relating to the program and replace previous understandings regarding the same subject matter.

97. LANGUAGE

The Portuguese version of these Terms is the official version for participation in the program, unless the written conditions of a specific campaign expressly indicate another applicable version. Translations may be available for convenience. Local mandatory standards prevail whenever applicable.

98. ELECTRONIC ACCEPTANCE

Acceptance by check box, button, electronic signature, written response, use of code or continued participation produces the effects permitted by applicable law.

99. SURVIVAL OF THE CLAUSES

Provisions that by their nature should continue after termination remain in effect, including intellectual property, license, confidentiality, outstanding payments, liability, data protection and dispute resolution.

GUIDELINES FOR AMBASSADORS

Real fishermen. Authentic fishing.

  • Share real and useful experiences for other fishermen.
  • Display the product in a clear, safe and consistent way with its intended use.
  • Always identify offers, discounts, commissions and partnerships.
  • Do not promise guaranteed results or exaggerate technical features.
  • Respect species, minimum sizes, quotas, seasons, licenses and fishing zones.
  • Promote responsible catch and return when appropriate and never leave line, hooks or packaging in the environment.
  • Do not post sensitive locations when doing so may put species or habitats at risk.
  • Treat the community, other brands and different styles of fishing with respect.
  • If you have any questions about a statement, campaign or use of the brand, please contact BABALU before publishing.

PROGRAM SUMMARY

By completing the application or accepting the invitation to the BABALU Fishing Tackle Ambassador Program, the participant declares:

“I have read, understand, and agree to the BABALU Fishing Tackle Program Terms and Ambassador Guidelines.”
